These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “Client”) and Mohit Part (“Mohit Part,” “we,” “us,” or “our”) regarding your access to and use of https://mohitpart.online/ (the “Site”) and any digital marketing, consulting, or related services we provide (the “Services”).

By accessing the Site, submitting a consultation request, or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or Services.

You must be at least 18 years of age and have the legal capacity to enter into contracts to use the Site and Services. If you are using the Site or Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

4. Description of Services

Mohit Part offers consulting and related services that may include, without limitation: performance marketing and paid media strategy, conversion rate optimization, business growth and brand strategy, and lead generation systems. Specific scope, deliverables, fees, and timelines for paid engagements will be set forth in a proposal, statement of work, or other written agreement (“Service Agreement”).

Information on the Site, including pricing packages displayed at /pricing, is for general informational purposes and may be updated at any time. A binding engagement begins only when both parties agree in writing (including email confirmation of a proposal).

5. Consultation Requests and Communications

Submitting a form on the Site does not create a client relationship. We may respond to inquiries at our discretion. You agree to provide accurate information and not to misuse contact forms for spam, solicitation, or unlawful purposes.

6. Fees and Payment

Fees for Services are as stated in the applicable Service Agreement. Unless otherwise agreed in writing: (a) invoices are due upon receipt or within the stated payment terms; (b) late amounts may accrue interest or suspension of Services; and (c) advertising platform media spend, third-party software, and pass-through costs are the Client's responsibility and are not included in Mohit Part consulting fees unless expressly stated.

All fees are non-refundable except as required by law or expressly agreed in a Service Agreement.

7. Client Responsibilities

You agree to: (a) provide timely access to accounts, assets, data, and stakeholders reasonably needed for the Services; (b) ensure you have rights to all materials you provide; (c) comply with applicable laws and advertising platform policies; and (d) obtain any consents required for marketing or data processing activities related to your campaigns.

8. Intellectual Property

The Site and its content—including text, graphics, logos, and design—are owned by Mohit Part or its licensors and are protected by intellectual property laws. You may not copy, reproduce, or exploit Site content for commercial purposes without our prior written consent.

Upon full payment, Clients receive a non-exclusive license to use deliverables created specifically for them under a Service Agreement, subject to any third-party rights and residual rights retained by Mohit Part in pre-existing materials, frameworks, and methodologies.

9. Acceptable Use

You agree not to: (a) use the Site in any unlawful manner; (b) attempt to gain unauthorized access to systems or data; (c) interfere with Site operation or security; (d) upload malware or harmful code; (e) scrape or harvest data from the Site without permission; or (f) misrepresent your identity or affiliation.

10. No Guarantees of Results

Marketing and consulting outcomes depend on many factors outside our control, including market conditions, product-market fit, budget, creative performance, platform algorithms, and Client execution. Mohit Part does not guarantee specific revenue, ranking, lead volume, or advertising results unless a written Service Agreement expressly states otherwise.

11. Disclaimers

THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MOHIT PART DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MOHIT PART AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO MOHIT PART FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT.

13. Indemnification

You agree to indemnify and hold harmless Mohit Part from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your breach of these Terms, your violation of law or third-party rights, or materials and instructions you provide for advertising or consulting work.

14. Termination

We may suspend or terminate access to the Site or Services if you violate these Terms or for other legitimate business reasons. Termination of a paid engagement is governed by the applicable Service Agreement. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, and indemnity) will survive termination.

15. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles. Exclusive venue for disputes shall be the state or federal courts located in New York, unless otherwise required by applicable law.

16. Changes to Terms

We may update these Terms periodically. The Effective Date will be revised accordingly. Material changes will apply prospectively. Continued use of the Site after updates constitutes acceptance where permitted by law. Active Service Agreements are governed by their own amendment terms.

17. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and Mohit Part regarding the Site and, as applicable, the Services, and supersede prior conflicting understandings relating to the same subject matter.
